These Terms of Service ("Terms") govern your use of Scaleify's website and services. By engaging Scaleify ("we," "us," or "our") for any paid advertising, AI automation, or digital marketing service, you ("Client" or "you") agree to these Terms. Please read them carefully.

Acceptance of Terms

By accessing our website, submitting an inquiry, booking a strategy call, or engaging Scaleify for any service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you may not access or use our services.

Services Provided

Scaleify provides digital marketing and growth services, which may include:

  • Paid advertising management (Meta Ads, Google Ads, TikTok Ads, and others)
  • AI automation systems and workflow development
  • Digital marketing strategy and consulting
  • Lead generation campaign design and management
  • Ad creative development and copywriting
  • Analytics reporting and performance optimization

The specific services delivered to you will be outlined in a separate Service Agreement or Statement of Work.

Client Responsibilities

To enable Scaleify to deliver results, you agree to:

  • Provide accurate and complete information about your business, goals, and target audience
  • Grant necessary access to advertising accounts, CRM systems, and relevant platforms
  • Respond to requests for approvals, feedback, or assets in a timely manner
  • Ensure your business, products, and services comply with all applicable laws and advertising platform policies
  • Maintain adequate ad spend budgets as agreed upon in your Service Agreement
  • Notify us promptly of any changes to your business that may affect campaign performance

Fees and Payment

Service Fees

All fees for services will be outlined in your Service Agreement. Fees are due according to the payment schedule specified therein.

Ad Spend

Ad spend paid directly to advertising platforms (Meta, Google, TikTok, etc.) is separate from our management fees and is the client's sole responsibility.

Late Payments

Invoices not paid within the agreed terms may incur a late fee and/or result in suspension of services until payment is received.

Refunds

Due to the nature of performance marketing and the work invested upfront, all fees are non-refundable unless otherwise agreed in writing.

Intellectual Property

Your Assets

You retain full ownership of all content, brand assets, and materials you provide to Scaleify. By providing them, you grant us a limited license to use them solely for delivering your services.

Our Work Product

Upon full payment of all fees, deliverables created specifically for your campaigns (ad creatives, copy, automation workflows) become your property. Scaleify retains ownership of its proprietary systems, frameworks, templates, and methodologies.

Scaleify Brand

Our name, logo, trademarks, and brand elements remain the exclusive property of Scaleify. You may not use them without our prior written consent.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, including but not limited to business strategies, campaign data, financial information, and client lists. This obligation survives the termination of our working relationship. We reserve the right to reference your business name and general results as a case study or testimonial with your prior consent.

Performance and Results

Digital advertising and marketing involve inherent uncertainty. While Scaleify applies best practices, proprietary systems, and significant expertise to every engagement:

  • We do not guarantee specific revenue outcomes, ROAS targets, or lead volumes
  • Results depend on factors outside our control, including ad platform algorithm changes, market conditions, and client-side conversion processes
  • All case study results and performance benchmarks shared in our marketing represent past client outcomes and are not guarantees of future performance

Term and Termination

Contract Term

Services are provided under the term defined in your Service Agreement. Month-to-month engagements require 30 days' written notice to cancel.

Termination for Cause

Either party may terminate the agreement immediately if the other party materially breaches these Terms or the Service Agreement and fails to cure the breach within 7 days of written notice.

Effect of Termination

Upon termination, Scaleify will cease all campaign activity and provide a final report. Outstanding fees remain due. Ad account access will be restored to the client within 5 business days.

Limitation of Liability

To the maximum extent permitted by applicable law, Scaleify shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of revenue, profits, or business opportunities
  • Ad spend losses resulting from platform policy changes, account suspensions, or algorithm shifts beyond our control
  • Damages arising from unauthorized access to your ad accounts or data breaches caused by third-party platforms

Our total aggregate liability for any claim shall not exceed the total fees paid to Scaleify in the three (3) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Scaleify, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law or advertising platform policy; (c) inaccurate information you provide to us; or (d) your products or services being advertised through our campaigns.

Ad Platform Compliance

You are responsible for ensuring your business, offerings, and any content provided to Scaleify comply with the advertising policies of all relevant platforms, including Meta, Google, TikTok, and others. Scaleify reserves the right to refuse or discontinue any campaign that we believe violates platform policies or applicable law.

  • You may not advertise prohibited or restricted products/services without proper platform authorization
  • You are responsible for maintaining required licenses, permits, and legal compliance for your business
  • Account suspensions resulting from client-provided content or prior policy violations are not the responsibility of Scaleify

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Kentucky, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Lexington, Kentucky. Both parties consent to personal jurisdiction in such courts.

Dispute Resolution

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes informally by notifying the other party in writing and engaging in good-faith negotiations for at least 30 days. If informal resolution fails, disputes shall be submitted to binding arbitration in Lexington, Kentucky under the rules of the American Arbitration Association, except either party may seek injunctive relief in a court of competent jurisdiction.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. We will notify existing clients of material changes via email. Your continued use of our services after changes are posted constitutes your acceptance of the updated terms. We recommend reviewing these Terms periodically.
